3. Business Nature & B2B Scope

Vihaan Wholesale Trading operates as an importer, wholesaler, trader, distributor, and private label supplier. Products may be sourced through OEM manufacturers, import partners, factories, contract manufacturers, or associated suppliers and supplied under proprietary, associated, or controlled brand names.

We provide business to business (B2B) wholesale trade and sourcing services to businesses, salons, beauty retailers, and corporate buyers in India. Website content, catalogues, and pricing are intended for commercial procurement and do not constitute retail consumer offers.

4. Two Distinct Commercial Routes

Our business operates through two distinct commercial channels:

• MAISON VERAH Ready Stock: Curated press on nail designs held as physical inventory in India, supplied in structured lots (MOQ 50 pcs), subject to stock confirmation.
• China Sourcing & Private Label: Make to order products sourced from China partner factories based on confirmed specifications, subject to factory MOQs, production lead times, and applicable regulatory clearance.

5. Quotations, Invoicing & Orders

All quotations, product availability statements, and indicative transit timelines are subject to written confirmation via formal Proforma Invoice or Purchase Order agreement. Orders proceed only upon mutual acceptance of commercial specifications, unit pricing, GST compliance, and payment terms.

Private label, OEM, and ODM assignments require sign off on packaging artwork, samples, and manufacturing tolerances before mass production commences. Specifications agreed during pre production approval govern batch acceptance.

6. Orders & Payments

• Only prepaid orders are accepted. Cash on delivery is not available.
• Orders are processed and dispatched after payment is confirmed in full.
• Once an order is confirmed and packed, cancellation cannot be accepted.
• Shipping, handling, and external courier charges apply separately unless specified otherwise. Details are in our Shipping Policy.
• Returns and refunds are governed by our Return & Replacement Policy.

7. Product Disclaimer

Certain imported or handmade products may show minor variation in colour, finish, shape, or packaging. Such variation is standard trade practice and is not treated as a manufacturing defect. Buyers are advised to verify product suitability before resale or commercial use.

8. Brand Ownership & Intellectual Property

Maison Verah and OJI are proprietary brands of Vihaan Wholesale Trading. All rights in the following remain the exclusive property of Vihaan Wholesale Trading and may not be used without our written permission:

• Brand names and logos
• Product packaging and trade dress
• Product photos, videos, and reels
• Catalogues, listing designs, and watermarks
• Promotional and marketing content

Unauthorised use of any of these materials may be treated as trademark or copyright infringement, brand misuse, or breach of contract, and may result in legal action.

9. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Vihaan Wholesale Trading is not liable for indirect, incidental, or consequential damages, business or profit losses, third party claims, or resale related losses arising from the use, resale, handling, or distribution of products purchased from us.

We are also not responsible for courier delays, transit damage, customs issues, government restrictions, technical platform issues, or other events beyond reasonable business control.

10. Enforcement Rights

Where these terms are breached, Vihaan Wholesale Trading may suspend supply, decline future orders, end the business relationship, issue legal notices, seek injunctive relief, claim civil damages, and initiate trademark, copyright, or commercial proceedings.

11. Privacy & Business Communication

Customer information may be used for order processing, logistics, accounting, compliance, and business communication in accordance with applicable laws, and as described in our Privacy Policy. By dealing with us, you agree to receive order related communication through our official business channels.

12. Governing Law & Jurisdiction

These Terms & Conditions and all related transactions are governed by and interpreted in accordance with the laws of India. All disputes, claims, or legal proceedings are subject exclusively to the jurisdiction of the courts in Pune, Maharashtra.

13. Policy Updates & Acceptance

Vihaan Wholesale Trading may update or revise these Terms & Conditions from time to time. Continued business dealing after an update constitutes acceptance of the revised terms. By purchasing from, accessing, or dealing with Vihaan Wholesale Trading, you confirm that you have read, understood, and agreed to these terms.
